GoPro, Inc. enters definitive merger agreement with Starman Optical, Inc. to expand into AI and defense markets
GoPro, Inc. entered into a definitive merger agreement with the private photonics company Starman Optical, Inc. The administration announced that the merger will allow the company to expand into artificial intelligence data centers and defense markets while maintaining its existing consumer camera and cloud operations. Under the deal, GoPro, Inc. shareholders will receive a $285 million cash payment, totaling $1.14 per share, and will retain approximately 10% ownership of the combined entity. The transaction will also fully repay GoPro, Inc.'s $92 million in outstanding debt, leaving the company with a debt-free balance sheet. The combined firm will remain listed on the Nasdaq. The merger follows a significant investment by Markiplier, who acquired an 8.5% stake in the company, becoming the largest individual shareholder. Markiplier stated that his investment was based on the belief that the stock was undervalued. Nicholas Woodman, the CEO of GoPro, Inc., stated that the merger will enable the company to grow as a leading American imaging and optical solutions company. The deal is expected to close by the end of 2026, pending regulatory and shareholder approvals.
