Solstice Advanced Materials abandons acquisition of Element Solutions to focus on independent growth and shareholder returns

Solstice Advanced Materials has officially terminated its planned acquisition of Element Solutions, with both companies' boards agreeing to end the transaction without any termination fees. Rajeev Gautam, Chairman of the Solstice Board of Directors, noted that shareholder feedback was a primary factor in the decision, as investors expressed excitement about the company's growth trajectory as a standalone entity. By remaining independent, Solstice Advanced Materials will continue to pursue specialty materials for AI infrastructure, data centers, and nuclear energy. To signal confidence in its standalone strategy, the company also authorized its first share repurchase program, allowing for the buyback of up to $500 million in common stock. David Sewell, President and Chief Executive Officer of Solstice, affirmed that the company's strong cash flows and balance sheet provide the capacity to fund organic growth while returning capital to shareholders. The company also reaffirmed its full-year 2026 guidance, projecting net sales between $4.125 billion and $4.185 billion.
